Default Trouble with transparent label

I am trying to use a label over a picture box. I set the label to transparent on the web tab of the backcolor property, but I believe it is acting more like xray or something seeing all the way to the form instead of just to the picture. Please Help.

Labels do not have true transparency. (That should have been named something else besides 'transparent') If you want text to appear over a picture, you should draw the text yourself instead.

it shows the background of its parent, i believe ive tried this, on form load if u setup the label (set its parent to the picbox, along with its location (different due to new parent) and etc, it should show back of picbox
